Terms of Service

These Terms of Service ("Terms") govern your access to and use of HaskyOS's conversational widget platform and services (the "Service"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Service.

1. Acceptance of Terms

By creating an account, accessing, or using HaskyOS, you ("User", "you", or "your") agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

These Terms apply to all users of the Service, including developers, business owners, and end customers who interact with widgets powered by HaskyOS.

2. Description of Service

HaskyOS provides a B2B SaaS platform that enables developers and businesses to embed conversational widgets on their websites. The Service includes:

  • Conversational widget technology and infrastructure
  • Dashboard for managing widget configuration and monitoring conversations
  • Analytics and usage reporting
  • Integration capabilities with third-party services
  • Customer support and documentation

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, subject to the commitments outlined in Section 7 (Service Level).

3. Account Registration

3.1 Account Creation

To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Security

You must immediately notify us of any unauthorized use of your account or any other security breach. We will not be liable for any loss or damage arising from your failure to maintain account security.

3.3 Account Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use the Service. By using the Service, you represent that you meet these requirements.

4. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Transmit harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable content
  • Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service or any other systems or networks
  • Use the Service to transmit spam or unsolicited messages
  • Collect or harvest any personally identifiable information from the Service without consent
  • Use the Service for any illegal or unauthorized purpose
  • Deploy widgets that promote illegal activities, hate speech, or discriminatory content

We reserve the right to investigate and take appropriate action against anyone who violates this Acceptable Use Policy, including removing content, suspending or terminating accounts, and reporting to law enforcement authorities.

5. Intellectual Property

5.1 HaskyOS Property

The Service, including all content, features, functionality, software, and technology, is owned by HaskyOS and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms.

5.2 Your Content

You retain all rights to the content you submit, upload, or display through the Service ("Your Content"). By submitting Your Content, you grant HaskyOS a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and distribute Your Content solely for the purpose of providing and improving the Service.

5.3 Feedback

If you provide us with any feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without any obligation to you.

6. Payment Terms

6.1 Subscription Fees

Access to the Service requires payment of subscription fees based on your chosen plan. Subscription fees are billed monthly or annually in advance and are non-refundable except as required by law or as explicitly stated in these Terms.

6.2 Usage-Based Fees

Certain features may incur usage-based fees based on the number of conversations, messages, or other metrics as specified in your plan. You will be charged for usage-based fees monthly in arrears.

6.3 Payment Method

You must provide a valid payment method to use the Service. By providing a payment method, you authorize us to charge all fees incurred through your account to that payment method. If your payment fails, we may suspend or terminate your access to the Service.

6.4 Price Changes

We reserve the right to change our pricing at any time. If we change the price of your subscription, we will provide you with at least 30 days' notice. Price changes will take effect at the start of your next billing cycle. If you do not agree to the price change, you may cancel your subscription before the change takes effect.

6.5 Taxes

All fees are exclusive of applicable taxes, duties, and governmental charges. You are responsible for paying all such taxes except for taxes based on our net income.

6.6 Refunds

We offer a 14-day money-back guarantee for new subscriptions. If you are not satisfied with the Service within the first 14 days, you may request a full refund of your subscription fee. Refunds are not available for usage-based fees or after the 14-day period.

7. Service Level

7.1 Uptime Commitment

We strive to maintain 99.9% uptime for the Service, excluding scheduled maintenance and circumstances beyond our reasonable control. Uptime is measured monthly and does not include downtime resulting from your actions, third-party services, or force majeure events.

7.2 Scheduled Maintenance

We may perform scheduled maintenance that temporarily interrupts the Service. We will provide reasonable advance notice of scheduled maintenance whenever possible.

7.3 Support

Support availability varies by plan. Standard plans include email support with response times within 24 business hours. Premium plans may include priority support with faster response times and additional support channels.

8. Termination

8.1 Termination by You

You may cancel your subscription at any time from your account dashboard. Upon cancellation, you will continue to have access to the Service until the end of your current billing period. No refunds will be provided for partial billing periods.

8.2 Termination by HaskyOS

We may suspend or terminate your access to the Service immediately, without prior notice, if we believe you have violated these Terms, engaged in fraudulent activity, or for any other reason at our sole discretion. We may also terminate your account if your payment fails or if you do not use the Service for an extended period.

8.3 Effect of Termination

Upon termination, your right to access and use the Service will immediately cease. We may delete your account and all associated data within 30 days of termination. You are responsible for exporting any data you wish to retain before termination.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

HASKYOS DOES NOT WARRANT THAT:

  • The Service will meet your specific requirements
  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from the use of the Service will be accurate or reliable
  • Any errors in the Service will be corrected

YOU UNDERSTAND AND AGREE THAT ANY MATERIAL OR DATA DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF SUCH MATERIAL OR DATA.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HASKYOS, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL HASKYOS'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE AMOUNT YOU PAID TO HASKYOS FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM OR $100, WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

11. Indemnification

You agree to indemnify, defend, and hold harmless HaskyOS, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your Content or any content you submit through the Service

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

12.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved through good faith negotiations between the parties. If the dispute cannot be resolved through negotiations within 30 days, either party may submit the dispute to binding arbitration in Singapore in accordance with the Singapore International Arbitration Centre (SIAC) rules.

12.3 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts of Singapore for any disputes that cannot be resolved through arbitration.

13. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or by posting a notice on our website at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and may cancel your subscription.

The "Last updated" date at the top of these Terms indicates when these Terms were last revised. We encourage you to review these Terms periodically.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and HaskyOS concerning the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

14.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice to you.

14.5 Third-Party Services

The Service may contain links to third-party websites or services that are not owned or controlled by HaskyOS. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.
